Primelines TERMS AND CONDITIONS OF SALE

Primelines is a division of GOTO PLUS PTY LTD ACN 648 946 043 with a registered address of PO Box 7119, Tathra NSW 2550, Australia, all trading names and websites remain the property of GOTO PLUS PTY LTD.

Acceptance

These Terms and Conditions of Sale (Terms), together with (where applicable) the Website Terms of Use and the Returns Refund and Repair Policy (collectively, Applicable Terms), apply to purchases made from the website of Primelines (website). If you do not accept these Terms, you must refrain from using this Website or making a purchase from the website.

About this Policy

The goods and services described on the Primelines website are available online only. The goods and services will be available for you to purchase at the specified price on that specific date, or until otherwise removed from the website. Where Primelines accepts your offer to purchase, Primelines will sell the goods or services (or both) to you in accordance with these Terms and any other Applicable Terms. Primelines does not represent that any goods or services on this website will be available for immediate shipment.

User Agreement

By accessing or using the Website, you accept these Terms and agree to be bound by them, and an agreement is formed between us and you. These Terms may be amended at any time without notice and your access to this Website may be terminated at any time without notice. Your continued use of the Website following such amendment of these Terms will represent an agreement by you to be bound by these Terms as amended. We recommend you review the Terms for amendments each time you use the Website and before placing any Order. Should we choose to provide you with notice of amended Terms, you agree to receive email notification of the amendments from us.

Use of the website

The website may be accessed as by guests or members. If you wish to become a member of the website, please complete input your details in the Form. Your personal information will be handed in accordance with our Privacy Policy. You must not use another members’ account without permission. You must keep your password secure as you are responsible for any activity on your account. You agree to notify us immediately if you become aware of any security breach or any unauthorised use of your password or account. If you forget your password you may click on the relevant link located on the website and we will email you a new password, or you may contact our Customer Care Team. We use third parties to assist us in the detection of fraudulent activity conducted on the website (Third-Party Service Providers). By accessing or using the website, you accept that your activities on and interactions with the website may be monitored by us or Third-Party Service Providers to identify potentially fraudulent transactions or any other misuse of the website.

Purchases made on the website

Any purchase made by you in response to an invitation to from Primelines is subject to these Terms (Order).
Any Order made on this website is an acknowledgement by you that you:

  • are over the age of eighteen (18) years;
  • accept these Terms;
  • agree that you have entered into a legal contract with Primelines in relation to these Terms;
  • these Terms constitute the entire agreement between you and GOTO PLUS PTY LTD Trading as Primelines for the supply of goods subject to the Order; and
  • have previewed and confirmed that the goods in your cart are correct.

We recommend you carefully preview all goods before adding them to your shopping cart and proceeding with your Order. Representations of goods for sale made by Primelines via the website do not constitute an offer to sell but an invitation to treat. You and Primelines will enter into a contract for the sale and supply of goods if you make payment in full (plus any applicable delivery charges) on the website for the goods or service (or both) in your cart, and the Order is accepted and confirmed by Primelines Online. Once you have completed the steps above and completed your Order, you cannot cancel or revoke your Order, unless expressly provided for in these Terms.

You acknowledge that:

  1. the transmission of your Order or the confirmation of any payment, made through an electronic instruction may not be received by Primelines for reasons beyond the reasonable control of you or Primelines (or both), including but not limited to, electronic failure, mechanical, software, computer, or telecommunications, or the omission or failure of third party website providers or systems;
  2. Primelines may act on and process all completed electronic instructions transmitted or issued through the website without further consent from or reference to you;
  3. Primelines may treat an electronic instruction as authentic and is under no obligation to investigate the authenticity or authority of persons issuing or transmitting such electronic instructions, or to verify the accuracy and completeness of such electronic instructions.

You will receive an email from Primelines as soon as practicable after you have submitted your Order is completed and payment is received. If your Order is not accepted by Primelines will notify you by telephone or email as soon as possible and arrange for a full refund of any payment made by you to be processed. Primelines may, in its sole and absolute discretion, accept or reject any offer made by you for any reason (or no reason), including an error in the advertised price for, or description of, the goods on the Website, or an error in your Order. Any representations made about stock availabilities are accurate to the last known stock level and are subject to change. If Primelines cannot supply a particular good, Primelines will notify you by telephone or email as soon as possible and arrange for a full refund of any payment made by you to be processed. Primelines will be deemed to have accepted your Order following confirmation that the Order has been shipped or is ready to be collected, as the case may be.

Offer via Live Chat

You may request and Primelines may provide a quote for you to purchase goods from Primelines at a specified price, via the Live Chat function on the Website (My Offer Price). At the conclusion of the Live Chat session, Primelines will email to you a unique link to be used by you should you decide to make an offer to Primelines to purchase good from Primelines at the My Offer Price (My Offer Email). Representations of goods for sale made by Primelines via the My Offer Email do not constitute an offer to sell but an invitation to treat. You and Primelines may enter into a contract for the sale and supply of good by you making an offer via the Website to purchase the good at the My Offer Price by you “clicking” on the unique link contained in the My Offer Email and you otherwise comply with these Terms. The Offer Price is only redeemable by you using the unique link via the website. The Offer Price may only be used once by you, and you cannot purchase multiple items of a good at the My Offer Price unless noted otherwise in the My Offer Email. The unique link contained in the Offer Email is valid for 24 hours from the time of issue by Primelines. Upon expiry, you will be required to re-enter a Live Chat session to negotiate an alternate My Offer price. The Offer Price cannot be used in conjunction with any other offers available on the website.

Price

Prices shown with each good are in Australian dollars and include GST where applicable. Prices shown with each good do not include delivery and handling charges and are subject to change (in the absolute discretion of Primelines). Delivery and handling charges are calculated at checkout and are in addition to each price for each good being purchased. Each published saving in respect of a good is by reference to the lower of the recommended retail price of the manufacturer or the ticketed price of Primelines. Images of goods shown without any advertised price beside that image are not offered for sale. Unless otherwise stated, any accessories shown in any image of goods are not included in the price. We reserve the right to correct any errors published on the website.

Payment

All payments must be made in full prior to acceptance of an Order by Primelines. Payments must be made via the CyberSource Payment Solutions Pty Ltd, PayPal secure payment gateway facilities, or any other payment gateway facilities that are accessible via the website and will be subject to any terms and conditions of these providers. Your request to purchase from Primelines (Requested Purchase) is subject to fraud analytic pre-screening which is administered Third-Party Service Providers, including Forter Australia Pty Ltd (Forter), or any other fraud analytic pre-screening used by Primelines from time to time. In the event that the Requested Purchase is considered potentially fraudulent, or does not pass the fraud analytic pre-screening process, we reserve the right to not accept the Requested Purchase. . Your personal information is used in accordance with our Privacy Policy. To the extent permitted by law, Primelines will not be responsible for any damages or consequential losses (whether direct or indirect) suffered by a user where a credit card or PayPal account is fraudulently used or is used in an unauthorised manner.

Supply and Delivery

Primelines will sell and supply the goods to you as described in your Order confirmation email. Goods may not be available for immediate delivery. Primelines will endeavour to deliver your Order to you within ten (10) days of the date you placed your Order, except if the Order is for an item of furniture, large or bulky items, or is purchased via pre-order. For furniture, and large or bulky items, Primelines will contact you by telephone or email to arrange with you a suitable time for delivery. You agree that your Order for any item of furniture may take up to ten (10) weeks to be delivered to you from the date you placed your Order. This timeframe is the average manufacturing lead time required by suppliers. Primelines will contact you on receipt of your Order to notify you of the indicative delivery date. Before you submit your Order, you will be prompted to select whether you wish to collect your Order from an independent Primelines® Franchisee Store or to have the Order delivered to an address specified by you. Other than in respect of Orders for furniture, or addresses in regional or remote areas, if Primelines gives you notice that it will be unable to deliver your Order within 10 business days of receipt of your Order due to lack of stock, you may cancel your Order without charge, and Primelines will arrange for a full refund of any payment made by you to be processed. Delivery times may be greater than 10 business days for regional or remote areas.

Delivery by Post

Delivery charges (if any) are payable in addition to the price for the goods subject of an Order. The delivery address must be an address within Australia and cannot be a freight forwarding location. Deliveries cannot be made to PO Boxes. You will be required to be available in person to accept delivery of your Order. If you wish to change the delivery date or delivery address you must the Customer First Team know at least 48 hours prior to the dispatch of your Order. Primelines will use best endeavours to dispatch your Order within any estimated timeframes, however Primelines does not warrant that these timeframes will always be met. If you select the “Scheduled Delivery” or “Same Day Delivery” option, and after receiving confirmation of your Order, Primelines determines it is unable to deliver your Order at the scheduled time, Primelines will contact you by phone or email to arrange an alternate time for delivery, and will refund to you the price you paid for delivery of those goods. Primelines will also give you the option of cancelling your Order and receiving a full refund of the price you paid for those goods if you are not satisfied with the alternative delivery time. You must advise at the time you place your Order via the website or later when you discuss delivery with Primelines of any difficulties that may be involved in the delivery (such as stairs or narrow entries). If you fail to accurately describe the address correctly and on arrival the courier deems it to be an inaccessible location, additional redelivery charges will be payable.

Disclaimer

To the extent permitted by law, Primelines excludes all liability to you for loss or damage of any kind relating to the website including, but not limited to, loss or damage you might suffer as a result of (1) you acting, or failing to act, on any information contained on or referred to on the website or any linked website; (2) personal injury or property damage of any kind resulting from your access or use of the Website; and (3) any unauthorised access to or use of the website. Except as expressly provided in these Terms, and to the fullest extent allowed by the law, Primelines will not be liable for any direct, indirect, special, incidental or consequential damages arising out of your access to or use of the website. This clause is not intended to exclude or limit any rights which you may have under the Competition and Consumer Act 2010 (Cth). Privacy and Personal Information

Our Privacy Policy available here explains how your personal information is collected and managed in accordance with the Australian Privacy Principles in the Privacy Act 1988 (Cth).

Force Majeure

Primelines will not be liable for any delay in performing any of their obligations if such delay is caused by circumstances beyond their reasonable control, including but not limited to, failure of or interruption in the provision of essential services such as electricity supply, bank payment systems or postal deliveries.

Governing Law

These Terms are governed by and interpreted in accordance with the laws of New South Wales, Australia and you irrevocably submit to the non exclusive jurisdiction of the Courts of New South Wales, Australia. Primelines makes no representations that the content of the Website complies with the laws of any country outside Australia.

Severability

If any part of these Terms are found to be void, invalid, unlawful or unenforceable then that provision or part will be deemed to be severed from these Terms and the remaining terms and provisions of these Terms will remain in force and constitute the agreement between you and Primelines.

Transfer and Assignment

If Primelines merges, sells or otherwise change control of its business or this website to a third-party, Primelines reserves the right, without giving notice or seeking consent, to transfer or assign the personal information, content and rights that Primelines has collected from you and any agreements it has made with you in accordance with our Privacy Policy.

Waiver

The failure by Primelines to exercise or enforce any right or provision under these Terms will not constitute a waiver of such right or provision. Any waiver of any provision under these Terms will only be effective if it is in writing and signed by Primelines.
